Beta Access Agreement

1. Introduction & Purpose

This Beta Access Agreement (the “Agreement”) is entered into by and between Sparktoria Tech Ltd., a Cayman Islands company (“Company”), and the individual or entity (“User”) who submits the SPARK Early Access form, for the purpose of testing and evaluating the Company’s software platform, SPARKS by Sparktoria (“SPARK”), in a limited beta release. By signing up or accessing the platform, the User agrees to the terms of this Agreement.
 
2. Access Grant
  • Company grants User a non-exclusive, non-transferable, revocable, limited license to access and use SPARK for beta testing purposes only.
  • The beta access will run for a 30 to 60-day trial period, beginning upon Company’s issuance of access credentials.
  • No payment is required for beta participation.

3. Eligibility & Region
This beta program is intended for businesses located in Canada, USA, the Wider Caribbean, and Latin America. The Company reserves the right to limit participation based on fit and geographic focus.


4. Use & Restrictions
User agrees to:
  • Use SPARK only for internal evaluation purposes.
  • Not share access credentials or SPARK-generated outputs publicly.
  • Not reverse-engineer, decompile, or replicate the platform.
  • Not make any public statements about SPARK without prior written consent.


5. Confidentiality
All elements of the SPARK platform, including its functionality, pricing, and documentation, are confidential. User agrees to maintain confidentiality and to treat all access materials with the same level of care as their own confidential information. Public disclosure or competitive analysis is prohibited without written consent.


6. Feedback & IP
  • User may provide feedback voluntarily regarding usability, features, and improvements.
  • All feedback becomes the exclusive intellectual property of Sparktoria Tech Ltd.
  • Feedback will not entitle User to compensation or recognition unless otherwise agreed.


7. Disclaimers
  • SPARK is provided “as is” during the beta period.
  • Company makes no guarantees regarding availability, uptime, performance, or feature completeness.
  • Company is not liable for any losses or damages arising from the use or inability to use SPARK during the beta.


8. Termination
  • Company may revoke beta access at any time, with or without cause.
  • User may withdraw by written notice to the Company.
  • Upon termination, User must stop using SPARK and, when requested, delete all associated data.


9. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of the Cayman Islands, without regard to conflict of law principles. User agrees to submit to the exclusive jurisdiction of the Cayman Islands courts for any disputes arising from this Agreement.


10. General Terms
  • This Agreement constitutes the entire agreement between the parties with respect to beta access.
  • No rights are granted to User under any Sparktoria patents, trademarks, or copyrights.
  • Participation does not guarantee future access or commercial use rights.
  • Any changes to this Agreement must be made in writing.


11. Acceptance
By submitting the SPARKS early access form or using the platform, the User acknowledges and agrees to this Agreement in full.
